LEGAL SERVICE AGREEMENT

Terms of Service

Please review these Terms of Service carefully before subscribing to or using Stafora HRMS platform, APIs, or enterprise services.

1. Acceptance of Terms

By registering an account, accessing, or subscribing to Stafora HRMS software, applications, or APIs ("Service"), you ("Client", "Organization", or "User") agree to be bound legally by these Terms of Service.

If you are entering into this agreement on behalf of a company or corporate entity, you represent that you possess the full legal authority to bind such entity to these Terms.

2. Account Registration & Security

Organizations are responsible for maintaining the confidentiality of administrative credentials, multi-factor authentication (MFA) parameters, and user permissions assigned to employee profiles.

  • Provide accurate, complete organizational registration information.
  • Promptly notify Stafora of any unauthorized system breaches or credential compromises.

3. Subscription & Billing Terms

Stafora HRMS services are billed on a recurring monthly or annual subscription tier per active employee user.

Payment Execution

Fees are debited at the beginning of each billing cycle automatically via credit card or wire transfer.

Taxes & Levies

All fees exclude local sales tax, VAT, or withholding levies mandated by territorial tax codes.

4. Acceptable Use Policy

Clients agree NOT to engage in any prohibited actions, including:

  • Reverse engineering, decompiling, or probing Stafora platform architecture.
  • Bypassing system rate limits, API throttling, or security vulnerability scanners.
  • Storing unlawful, defamatory, or fraudulent employee documents.

5. Intellectual Property Rights

Stafora retains all proprietary title, trademarks, software code, and patent rights in the platform. The Client retains full ownership of all corporate employee data uploaded to the system.

6. Limitation of Liability

To the maximum extent permitted by law, Stafora shall not be liable for indirect, incidental, punitive, or consequential damages resulting from lost payroll processing profits or operational downtime.

7. Service Termination

Either party may terminate the subscription with 30 days written notice. Upon termination, Clients have 60 days to export all employee records in CSV/JSON formats before permanent data purging.
